Independent Contractor Agreement

Between BizLadder and

First Last

This Independent Contractor Agreement ("Agreement") is made and entered into as of Date by and between BizLadder LLC, a New Hampshire limited liability company, with its principal place of business at 143 Pelham Road Salem, NH 03079 ("Company"), and First Last, residing at Full Address ("Contractor").

1. Services

Contractor agrees to provide professional services as outlined in Exhibit A (the “Services”), which may include but are not limited to strategy, writing, coordination, project management, program management, account management, or other services agreed upon in writing by both parties.

Contractor shall perform the Services in a timely, professional, and workmanlike manner, consistent with industry standards.


2. Independent Contractor Relationship


Contractor is an independent contractor and not an employee, partner, or agent of the Company. Contractor shall have no authority to bind the Company in any manner.


Nothing in this Agreement shall be interpreted as creating a partnership, joint venture, or employment relationship.


3. Compensation

Company shall pay Contractor as set forth in Exhibit B. Contractor shall be responsible for all taxes, withholdings, and other statutory, regulatory, or contractual obligations of any sort, including but not limited to federal, state, and local income taxes and self-employment taxes.


4. Term and Termination

This Agreement shall commence on the date first written above and continue on a month-to-month basis unless terminated by either party with 14 days’ written notice. Company may terminate this Agreement immediately for cause, including but not limited to breach of this Agreement, misconduct, or failure to perform Services as agreed.


5. Confidentiality

Contractor agrees not to disclose or use any Confidential Information (as defined in NDA agreement) of the Company except as required to perform the Services. "Confidential Information" includes, but is not limited to, Company client information, marketing strategies, business operations, financial data, passwords, and trade secrets.


This obligation shall survive the termination of this Agreement.


6. Intellectual Property

All work product created by Contractor in the course of performing the Services, including but not limited to written content, designs, reports, and deliverables (“Work Product”), shall be the sole and exclusive property of the Company. Contractor agrees to assign, and hereby does assign, to the Company all rights, title, and interest in and to the Work Product.


7. Non-Solicitation

During the term of this Agreement and for a period of 36 months after its termination, Contractor shall not directly or indirectly solicit business from, or provide similar services to, any client or prospective client of the Company with whom the Contractor worked during the term of this Agreement, without prior written consent of the Company.


8. Tools and Equipment

Contractor shall provide, at Contractor’s own expense, all tools, equipment, and materials necessary to perform the Services.


9. Warranties

Contractor warrants that the Services and Work Product shall be original and will not infringe on the intellectual property or rights of any third party. Contractor agrees to indemnify and hold harmless the Company against any such claims.


10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of New Hampshire, without regard to conflict of law principles.


11. Miscellaneous

  • Entire Agreement: This Agreement constitutes the entire agreement between the parties.

  • Amendments: Any modifications must be in writing and signed by both parties.

  • Severability: If any provision is held unenforceable, the remainder shall remain in full force and effect.

EXHIBIT A – SERVICES

Contractor will provide a range of support services to BizLadder LLC on an as-needed basis, including but not limited to the following:


  • Administrative Support:

    • Assist with internal documentation, file organization, and process tracking

    • Maintain and update client folders, shared documents, and internal tools (e.g., Google Drive, ClickUp, Monday, Slack, etc.)

    • Manage scheduling, internal communication flow, and task assignments when requested


  • Project Management:

    • Help track the progress of active client projects using BizLadder's internal systems

    • Monitor deadlines, deliverables, and dependencies to keep tasks on schedule

    • Coordinate with writers, strategists, and other team members to ensure seamless execution of workflows


  • SEO Content Execution and Client Support:

    • Assist in creating, formatting and uploading SEO content to client websites (primarily Wix, but may include others)

    • Implement on-page SEO elements such as metadata, internal linking, and keyword placement under guidance

    • Communicate with clients or internal team members regarding content updates, approvals, and edits as needed


These services may evolve over time based on BizLadder's needs and Contractor’s capabilities, with any substantial additions or shifts to scope to be agreed upon in writing.

EXHIBIT B – COMPENSATION

Contractor will be compensated at a rate of $XX.XX per hour for all approved hours worked in connection with the Services outlined in Exhibit A.


  • Payment Schedule: Payments will be issued biweekly (every two weeks) based on hours submitted and approved by BizLadder.

  • Time Tracking: Contractor shall maintain accurate records of hours worked and submit a summary of hours for approval prior to each pay period.

  • Method of Payment: Payment will be made via [Preferred Payment Method – e.g., ACH transfer, PayPal, Wise, etc.], unless otherwise agreed upon in writing.

  • No Overtime: Contractor shall not work more than 40 hours per week without prior written approval. Overtime, if any, will be compensated at the standard hourly rate unless otherwise agreed upon.

  • No Benefits: As an independent contractor, Koben Hill is not eligible for any Company benefits, including health insurance, paid time off, or retirement contributions.
